Terms of Service

These Terms of Service govern your access to and use of SellSetGo and all related services,
software, applications, APIs and websites operated by SellSetGo.

By creating an account, subscribing to a plan, connecting marketplace accounts, or using
SellSetGo, you agree to be bound by these Terms.

Description of Service

SellSetGo is a cloud-based software platform that assists users with product listing
management, inventory synchronization, marketplace integrations, order management, content
generation, translations, reporting and related eCommerce functions.

SellSetGo may integrate with third-party platforms including but not limited to eBay,
Amazon, Shopify, TikTok Shop and other marketplaces.

Subscription and Billing

Access to SellSetGo requires an active subscription.

Subscription fees are billed in advance and are payable according to the selected
subscription plan.

Failure to pay subscription fees may result in suspension or termination of access to the
software.

SellSetGo reserves the right to modify subscription pricing at any time. Existing subscribers
will be notified before any pricing changes take effect.

Refund Policy

All subscription fees paid to SellSetGo are non-refundable.

Customers may cancel their subscription at any time. Cancellation will prevent future billing
but does not entitle the customer to a refund of fees already paid.

No refunds or credits shall be provided for partial billing periods, unused features, unused
listing capacity, account inactivity, marketplace suspension, business closure, or any other reason.

Customer Responsibilities

Customers are solely responsible for all product data, inventory quantities, pricing
information, listing content, images, descriptions, marketplace information and business decisions entered
into or made through SellSetGo.

SellSetGo is a software tool only. The customer remains solely responsible for all listings,
inventory quantities, pricing decisions, marketplace compliance, tax obligations, order fulfilment, customer
communications and overall business operations.

SellSetGo does not make business decisions on behalf of the customer and shall not be
responsible for any resulting losses or damages.

Customers are responsible for maintaining backups of important business information.

Marketplace Integrations

SellSetGo integrates with third-party marketplaces and platforms.

SellSetGo is not affiliated with, endorsed by or responsible for the actions, policies,
outages, API changes, account suspensions, restrictions or decisions made by any third-party marketplace.

Changes made by third-party marketplaces may affect software functionality without prior
notice.

AI Generated Content and Translations

SellSetGo may provide AI-generated content, descriptions, translations and
recommendations.

Customers must independently review and verify all generated content before publication.

SellSetGo shall not be responsible for inaccuracies, omissions, translation errors, legal
compliance issues or commercial losses arising from generated content.

Service Availability

SellSetGo strives to maintain high service availability but does not guarantee uninterrupted
access, error-free operation or continuous availability.

Maintenance, upgrades, internet failures, infrastructure failures, third-party outages and
unforeseen technical issues may affect service availability.

Disclaimer

SellSetGo is provided on an “as is” and “as available” basis.

To the fullest extent permitted by law, SellSetGo disclaims all warranties, whether express
or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, reliability and
non-infringement.

Customers use the software entirely at their own risk.

Limitation of Liability

To the fullest extent permitted by applicable law, SellSetGo, its owners, employees,
contractors and affiliates shall not be liable for any indirect, incidental, consequential, special, exemplary or
punitive damages.

This includes but is not limited to loss of profits, loss of revenue, loss of business, loss of
goodwill, loss of data, listing errors, inventory discrepancies, pricing errors, order issues, marketplace
penalties, marketplace account suspensions, customer disputes or other commercial losses.

To the fullest extent permitted by applicable law, SellSetGo’s total aggregate liability arising
out of or relating to the software shall not exceed the subscription fees paid by the customer during the one
(1) month immediately preceding the event giving rise to the claim.

Indemnification

Customers agree to defend, indemnify and hold harmless SellSetGo, its owners,
employees, contractors and affiliates from any claims, damages, liabilities, costs, expenses and legal fees
arising from their use of the software or violation of these Terms.

Account Suspension and Termination

SellSetGo reserves the right to suspend or terminate accounts that violate these Terms,
engage in unlawful activities or misuse the software.

Upon termination, access to the software may be revoked immediately.

Intellectual Property

All software, source code, designs, trademarks, logos, documentation and content provided
by SellSetGo remain the exclusive property of SellSetGo.

Customers may not copy, modify, reverse engineer, distribute, sublicense or resell any part
of the software without prior written permission.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of India.

Any dispute arising out of or relating to these Terms shall be subject exclusively to the
jurisdiction of the courts located in Chennai, Tamil Nadu, India.

Changes to These Terms

SellSetGo reserves the right to update these Terms at any time.

Continued use of the software following any changes constitutes acceptance of the revised
Terms.
